1. Agreement and Acceptance

These Terms and Conditions (\"Terms\") apply to services provided by Redline Landscape Construction (\"Redline,\" \"Contractor,\" \"we,\" or \"us\") to the customer identified in the applicable estimate, quote, work order, contract, or invoice (\"Customer\"). The approved estimate, quote, work order, contract, invoice, any written change order, and these Terms together form the agreement between Redline and Customer. By approving an estimate, signing a contract, authorizing work electronically or in writing, paying a required deposit, or otherwise directing Redline to begin work, Customer agrees to these Terms, subject to any rights that cannot legally be waived.

2. Estimates, Pricing, and Scope of Work

Estimates are based on the visible and reasonably known conditions existing when the estimate is prepared and are valid for 30 days unless a different period is stated. The approved estimate defines the included scope of work. Work not specifically included is excluded. Quantities, dimensions, material needs, labor, disposal, equipment, and site conditions may require adjustment when actual field conditions differ from those reasonably observable at the time of estimating. Redline will obtain Customer approval for material changes in scope or price when reasonably practicable before performing additional billable work. Taxes, permits, engineering, utility fees, specialty inspections, and similar third-party costs are excluded unless expressly included.

3. Deposits, Materials, and Special Orders

Redline may require a deposit before scheduling work, ordering materials, reserving rental equipment, or committing labor. Deposit requirements will be stated in the estimate or contract. After any legally required cancellation period has expired, amounts already committed to nonreturnable special-order materials, custom products, delivery charges, equipment reservations, permit fees, or other nonrecoverable project costs may be charged to Customer to the extent permitted by law. Materials remain subject to manufacturer availability, lead times, substitutions approved by Customer, and natural variation in color, texture, size, grain, stone, block, pavers, plants, mulch, and other landscape products.

4. Payment and Late Charges

Unless the estimate, contract, or invoice states otherwise, payment is due upon completion of the applicable work. Progress payments may be required for larger projects. Customer agrees to pay approved change orders and additional authorized work. Past-due balances may be assessed a $5.00 late charge for each week the invoice remains past due, to the extent permitted by law. Customer is responsible for reasonable collection costs and other remedies allowed by applicable law. Redline may suspend or decline additional work on accounts with past-due balances.

5. Scheduling, Delays, and Access

Scheduled dates are good-faith targets and are not guaranteed unless expressly stated in writing. Work may be delayed or rescheduled because of weather, saturated or frozen ground, unsafe conditions, utility locates, material or equipment availability, equipment failure, staffing, site access, governmental requirements, emergencies, or other circumstances reasonably outside Redline's control. Customer will provide safe and reasonable access to the property, work areas, gates, driveways, water sources when required, and any other access reasonably necessary to perform the work.

6. Cancellation and Rescheduling

Customer should provide at least 24 hours' notice to cancel or reschedule routine service. Redline may charge documented, nonrecoverable costs incurred because of a late cancellation, including specially ordered materials, committed deliveries, rentals, permits, or similar project-specific expenses, only to the extent permitted by law and the applicable agreement. Nothing in this section limits any statutory cancellation right. Certain qualifying Nebraska home-solicitation transactions may carry a separate three-business-day cancellation right and required notice; when applicable, the statutory notice and applicable law control over any inconsistent provision in these Terms.

7. Changes, Extras, and Unforeseen Conditions

Customer-requested additions, deletions, substitutions, design changes, or work made necessary by concealed or unforeseen conditions may change the price and schedule. Examples include buried debris, unsuitable soils, excessive rock, hidden concrete, undocumented utilities, irrigation, drainage systems, roots, unstable subgrade, unexpected demolition, inaccessible work areas, or conditions materially different from those reasonably visible during estimating. Redline will communicate material changes and seek authorization before additional billable work when reasonably practicable. Emergency measures reasonably necessary to protect persons or property may be taken without advance approval when immediate authorization cannot reasonably be obtained.

8. Utilities, Irrigation, and Underground Property

Customer must disclose and clearly mark known private underground or concealed items that public utility locating services do not mark, including sprinkler heads and lines, invisible fencing, low-voltage lighting, private electrical lines, private drainage, septic components, private water lines, conduits, and similar improvements. Redline will use reasonable care but is not responsible for damage to unmarked, inaccurately marked, undisclosed, or improperly installed private items unless caused by Redline's negligence or other liability that cannot lawfully be excluded. Public utility locates do not necessarily identify privately installed systems.

9. Lawn, Seed, Sod, Plants, and Living Materials

Grass seed, sod, trees, shrubs, and other living materials require proper watering, mowing, fertilization, weather, soil conditions, and ongoing care after installation. Unless a written warranty expressly states otherwise, Redline does not guarantee germination percentage, establishment, survival, weed-free results, or uniform appearance because these outcomes depend on conditions outside Redline's control. Customer is responsible for post-installation watering and maintenance instructions. Natural seasonal changes, transplant shock, wildlife, pets, disease, drought, excessive rain, heat, freeze, chemical application, irrigation failure, or improper care are not workmanship defects.

10. Drainage, Grading, and Water Management

Drainage and grading work is intended to improve water movement based on observed site conditions and the agreed scope. Redline does not guarantee that a property will remain completely free of standing water, groundwater, seepage, erosion, ice, or drainage issues during every storm or weather condition unless a specific written performance standard is included in the contract. Existing grades, neighboring properties, municipal systems, soil conditions, groundwater, extreme precipitation, frozen ground, clogged downstream systems, and future property changes can affect performance. Customer is responsible for maintaining drains, inlets, emitters, gutters, downspouts, and other components after installation unless maintenance is separately contracted.

11. Concrete, Pavers, Retaining Walls, and Hardscape

Concrete, masonry, pavers, natural stone, retaining-wall products, and similar materials may exhibit normal variations in color, texture, dimensions, efflorescence, surface appearance, and weathering. Minor concrete cracking, shrinkage, surface variation, and movement can occur despite accepted construction practices and are not automatically evidence of defective workmanship. Damage or movement caused by expansive soils, frost, settlement outside the prepared work area, drainage changes, deicing chemicals, abuse, overloading, utility work, tree roots, or conditions beyond Redline's reasonable control is excluded unless otherwise stated in a written warranty.

12. Fence Repair

Fence repair is limited to the components and scope identified in the estimate. Existing fences may contain aged, warped, rotted, mismatched, discontinued, or previously repaired materials. Redline cannot guarantee that new repair materials will exactly match existing color, grain, weathering, dimensions, or appearance. Additional concealed deterioration discovered after disassembly may require a change in scope and price.

13. Snow Removal and Ice Mitigation

Snow and ice services are performed according to the applicable seasonal agreement, estimate, service trigger, or work order. Snow and ice conditions are inherently variable. Plowing, shoveling, deicing, or ice-melt application reduces hazards but cannot guarantee bare, dry, or ice-free pavement at all times. Refreeze, blowing or drifting snow, continuing precipitation, traffic, shade, drainage, temperature changes, and packed snow can create hazardous conditions after service. Customer remains responsible for reasonable care and for promptly reporting conditions requiring additional service. Site-specific snow contracts control if they conflict with this section.

14. Property Protection and Equipment Access

Customer will remove or identify fragile, valuable, or obstructing items from the work area, including toys, decorations, hoses, furniture, temporary wiring, pet waste, and movable objects. Customer authorizes reasonable use of trucks, trailers, skid loaders, mini skid loaders, excavators, compactors, mowers, and other equipment necessary for the approved work. Lawn or surface disturbance reasonably inherent in accessing or completing the approved work is not considered damage when disclosed by the nature of the project. Redline will exercise reasonable care to minimize avoidable disturbance.

15. Debris, Disposal, and Hazardous Materials

Debris removal and disposal are included only when stated in the estimate. Unless specifically agreed, Redline is not responsible for handling asbestos, contaminated soil, chemicals, fuel, medical waste, unknown hazardous substances, or other regulated materials. Discovery of suspected hazardous or regulated material may cause work to stop until the material is evaluated and properly handled. Related delay, testing, specialty disposal, or remediation costs are outside the original scope unless expressly included.

16. Permits, Approvals, HOA Rules, and Property Lines

Responsibility for permits, inspections, engineering, HOA approval, easements, surveys, and property-line verification will be as stated in the estimate or contract. Unless Redline expressly agrees in writing to obtain a particular approval, Customer is responsible for confirming that the requested work is permitted by applicable property restrictions and for accurately identifying property boundaries. Redline may rely on information supplied by Customer unless a survey or professional verification is included in the scope.

17. Workmanship and Warranty

Redline warrants that its services will be performed in a professional and workmanlike manner consistent with the agreed scope. Any project-specific warranty must be stated in writing in the estimate, contract, or separate warranty document. Customer must provide prompt notice of an alleged workmanship issue and a reasonable opportunity for Redline to inspect and, when covered, correct the issue. Manufacturer warranties, if any, are governed by the manufacturer's terms. Normal wear, maintenance, misuse, third-party work, acts of nature, concealed conditions, and conditions outside Redline's reasonable control are excluded from workmanship coverage unless expressly stated otherwise.

18. Limitation of Responsibility

To the fullest extent permitted by law, Redline is responsible for direct property damage caused by its negligent performance of the contracted work, subject to the terms of the applicable agreement. Redline is not responsible for pre-existing damage, concealed defects, inaccurate information supplied by Customer or third parties, unmarked private utilities, ordinary wear, natural material variation, weather events, acts of third parties, or consequential or indirect losses to the extent such exclusions are permitted by law. Nothing in these Terms excludes liability that applicable law does not permit the parties to exclude or limit.

19. Photographs and Project Documentation

Redline may photograph or record work areas before, during, and after service for estimating, documentation, quality control, training, dispute resolution, and portfolio or marketing purposes. Redline will use reasonable efforts not to publish personally identifying information, house numbers, license plates, or people without permission. Customer may notify Redline in writing before work begins if Customer does not authorize public marketing use of project photographs; documentation for internal business purposes may still be retained.

20. Construction Liens and Collection Rights

Redline reserves all payment, collection, and construction-lien rights available under Nebraska law. Any lien will be asserted only in accordance with applicable statutory requirements, notices, deadlines, and recording procedures. This provision does not itself constitute a statutory notice of right to assert a lien and does not expand any lien right beyond what Nebraska law provides.

21. Disputes and Governing Law

The parties are encouraged to first attempt in good faith to resolve concerns directly. Customer should provide Redline written notice describing the dispute and a reasonable opportunity to inspect or address alleged defective work before arranging corrective work by another contractor, except in an emergency or when prohibited by law. These Terms and the applicable agreement are governed by Nebraska law, without waiving any nonwaivable consumer right or venue protection. Any additional dispute-resolution requirement, including mediation or arbitration, applies only if separately stated and agreed to in writing.

22. Entire Agreement; Severability; Electronic Approval

The applicable estimate, contract, approved change orders, and these Terms constitute the parties' agreement regarding the contracted work and supersede prior discussions concerning that scope. If a provision is found unenforceable, the remaining provisions remain effective to the extent permitted by law. Electronic approvals, signatures, estimate acceptances, and records may be used as evidence of agreement to the extent permitted by law. A project-specific written term controls over a conflicting general provision in these Terms.

23. Customer Questions and Notices

Questions about an estimate, invoice, scheduled service, warranty concern, cancellation, or these Terms should be directed to Redline Landscape Construction using the contact information shown on the applicable estimate, invoice, contract, or official company website. Formal notices required by law must be delivered in the manner required by the applicable law.

IMPORTANT NEBRASKA CONSUMER NOTICE

Some transactions that legally qualify as Nebraska \"home solicitation sales\" may be subject to a statutory right to cancel until midnight of the third business day after the seller provides the required notice. Nebraska law prescribes specific notice wording, formatting, timing, and delivery requirements. When that law applies, Redline should provide the required BUYER'S RIGHT TO CANCEL notice containing Redline's mailing address as part of the transaction documents. These general Terms are not intended to replace that statutory notice.

Nebraska-specific consumer cancellation and construction-lien rules can depend on how and where a contract is formed and the type of project.
